Thanks for using our products and services (“Services”). The Services are provided by Infiniti Edusolutions Pvt. Ltd.. (“Infiniti”, “Teachmitra”), located at F7, B4, Rainbow Flats & Shopowner’s Association, Sector 10, Vashi, Navi Mumbai, Maharashtra- 400703 (IN).

By using our Services, you are agreeing to these terms. Please read them carefully. Our Services are very diverse, so sometimes additional terms or product requirements (including age requirements) may apply. Additional terms will be available with the relevant Services and those additional terms become part of your agreement with us if you use those Services.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service.

Using our Services

You must follow any policies made available to you within the Services.

Do not misuse our Services, for example, do not interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and control laws and regulations.

We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

Using our Services does not give you ownership of any intellectual property rights in our Services or the content that you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Services. Do not remove, obscure or alter any legal notices displayed in or along with our Services.

Our Services display some content that is not Teachmitra's. This content is the sole responsibility of the entity that makes it available. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. But that does not necessarily mean that we review content, so please do not assume that we do.

In connection with your use of the Services, we may send you service announcements, administrative messages and other information. You may opt out of some of those communications.

Your Teachmitra Account

You may need a Teachmitra Account in order to use some of our Services. You may create your own Teachmitra Account, or your Teachmitra Account may be assigned to you by an administrator, such as your employer or educational institution.

To protect your Teachmitra Account, keep your password confidential. You are responsible for the activity that happens on or through your Teachmitra Account. Try not to reuse your Teachmitra Account password on third-party applications. If you learn of any unauthorised use of your password or Teachmitra Account, write to us here.

Eligibility

The Teachmitra Services are not available to persons under the age of 18 or to anyone previously suspended or removed by Teachmitra from availing the Teachmitra Services or accessing the Teachmitra Platform. By accepting the Terms or by otherwise using the Teachmitra Services on the Teachmitra Platform, you represent that you are at least 18 years of age and have not been previously suspended or removed by Teachmitra, or disqualified for any other reason, from availing the Teachmitra Services or using the Teachmitra Platform. In addition, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all the Terms as part of this Agreement. Finally, you shall not impersonate any person or entity, or falsely state or otherwise misrepresent your identity, age or affiliation with any person or entity. Finally, in the event of any violation of the Terms, Teachmitra reserves the right to suspend or permanently prevent you from availing Teachmitra Services or using the Teachmitra Platform.

Your Content in our Services

Some of our Services allow you to upload, submit, store, send or receive content You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.

By posting Content on or through the Service, You represent and warrant that: (i) the Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) that the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright.

When you upload, submit, store, send or receive content to or through our Services, you give Teachmitra (and those we work with) a worldwide licence to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes that we make so that your content works better with our Services), communicate, publish, publicly perform, publicly display and distribute such content. The rights that you grant in this licence are for the limited purpose of operating, promoting and improving our Services, and to develop new ones. This licence continues even if you stop using our Services. Some Services may offer you ways to access and remove content that has been provided to that Service. Also, in some of our Services, there are terms or settings that narrow the scope of our use of the content submitted in those Services. Make sure that you have the necessary rights to grant us this licence for any content that you submit to our Services.

Our automated systems analyse your content to provide you with personally relevant product features, such as customised search results, tailored advertising and spam and malware detection. This analysis occurs as the content is sent, received and when it is stored.

If you have a Teachmitra Account, we may display your Profile name, Profile photo, want to Learn, can Teach, Points and actions you take on Teachmitra (such as like, feedbacks you write and comments you post) in our Services, including displaying in ads and other commercial contexts. We will respect the choices you make to limit sharing or visibility settings in your Teachmitra Account.

If you submit feedback or suggestions about our Services, we may use your feedback or suggestions without obligation to you.

LINKS TO OTHER WEB SITES

Our Service may contain links to third party web sites or services that are not owned or controlled by Teachmitra. Teachmitra has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that Teachmitra shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.

NOTICE AND PROCEDURE FOR COPYRIGHT INFRINGEMENT CLAIMS

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes on the copyright or other intellectual property rights (“Infringement”) of any person or entity.

You may submit a notification pursuant by providing our Copyright Agent with the following information in writing:

  • 1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright’s interest;
  • 2. A description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work;
  • 3. Identification of the URL or other specific location on the Service where the material that you claim is infringing is located;
  • 4. Your address, telephone number, and email address;
  • 5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

About Software/Website in our Services

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. Teachmitra gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive licence to use the software provided to you by Teachmitra as part of the Services. This licence is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Teachmitra in the manner permitted by these terms. You may not copy, modify, distribute, sell or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

Open-source software is important to us. Some software used in our Services may be offered under an open-source licence that we will make available to you. There may be provisions in the open-source licence that expressly override some of these terms.

Communication Policy

Teachmitra may send alerts to the mobile phone number provided by you while registering with the Teachmitra Platform for any service or on any updated mobile number subsequently provided by you on the Teachmitra Platform, or via e-mail or notifications. The alerts will be received in case of SMS, only if the mobile phone is in ‘On’ mode to receive the SMS, in case of e-mail, only if the e-mail servers and e-mail ids are functional, and in case of push notifications, if the user has enabled the receipt of such notifications. If the mobile phone is in ‘Off’ mode or if the e-mail servers or ids are not functional or if the push-notifications feature has been turned off, then you may not get the alert at all or get delayed messages.

Teachmitra will make best efforts to provide alerts via SMS/e-mail/notifications and it shall be deemed that you shall have received the information sent from Teachmitra as an alert on the mobile phone number or e-mail id provided during the course of, or in relation to, using the Teachmitra Platform or availing any Teachmitra Services. Teachmitra shall not be under any obligation to confirm the authenticity of the person(s) receiving the alert. You cannot hold Teachmitra liable for non-availability of the SMS/email alert/push notifications service in any manner whatsoever.

The SMS/e-mail alert/notification service provided by Teachmitra is an additional facility provided for your convenience and that it may be susceptible to error, omission and/or inaccuracy. In the event that you observe any error in the information provided in the alert, Teachmitra shall be immediately informed about the same by you and Teachmitra will make best possible efforts to rectify the error as early as possible. You shall not hold Teachmitra liable for any loss, damages, claim, expense including legal cost that may be incurred/suffered by you on account of the SMS/e-mail alert/notification facility.

The clarity, readability, accuracy and promptness of providing the SMS/e-mail alert/notification service depend on many factors including the infrastructure and connectivity of the service provider. Teachmitra shall not be responsible for any non-delivery, delayed delivery or distortion of the alert in any way whatsoever.

You will indemnify and hold harmless Teachmitra and the SMS/e-mail service provider including its officials from any damages, claims, demands, proceedings, losses, costs, charges and expenses whatsoever including legal charges and attorney’s fees which Teachmitra or the SMS/e-mail service provider may at any time incur, sustain, suffer or be subjected to as a consequence of, or arising out of, any of the following:
(i) misuse by you or improper or fraudulent information provided by you;
(ii) incorrect number or a number that belongs to an unrelated third party provided by you; and/or
(iii) the customer receiving any message relating to the cancellation of connect, change in connect schedule, delay, and/or rescheduling from Teachmitra and/or the SMS/e-mail service provider.

You will receive information via SMS, e mail and phone call regarding what Teachmitra perceive to be of your interest based on your usage history and browsing history. This includes providing information relating to offers, discounts and general information by Teachmitra. In case you do not want such information, you have to explicitly ask to be excluded.

Prohibited Conduct

By accessing or using the Teachmitra Platform or by availing Teachmitra Services, you agree not to:

Violate the Terms;

  • 1. Impersonate any person or entity, falsely claim or otherwise misrepresent your affiliation with any person or entity, or access the accounts of others without permission, forge another person’s digital signature, misrepresent the source, identity, or content of information transmitted via the Teachmitra Services, perform any other similar fraudulent activity or otherwise avail Teachmitra Services with what we reasonably believe to be potentially fraudulent funds;
  • 2. Infringe our or any third party’s intellectual property rights, rights of publicity or privacy;
  • 3. use the Teachmitra Services if you are under the age of 18 years without a parental sponsor or, in any event, use the Teachmitra Services if you are under the age of 13 years old even with a parental sponsor and in accordance with applicable law;
  • 4. Post or transmit any message which is libellous, defamatory or which discloses private or personal matters concerning any person;
  • 5. Post or transmit any message, data, image or program which is pornographic, vulgar or offensive in nature;
  • 6. Refuse to cooperate in an investigation or provide confirmation of your identity or any other information provide by you to Teachmitra;
  • 7. Remove, circumvent, disable, damage or otherwise interfere with security-related features of the Teachmitra Services and the Teachmitra Platform or features that enforce limitations on the use of the Teachmitra Services or the Teachmitra Platform;
  • 8. Reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of as regards Teachmitra Services or Teachmitra Platform or any part thereof, except and only to the extent this is expressly permissible by applicable law;
  • 9. Use the Teachmitra Services or the Teachmitra Platform in any manner that could damage, disable, overburden, or impair it, including, without limitation, using the Teachmitra Services or the Teachmitra Platform in an automated manner;
  • 10. Modify, adapt, translate or create derivative works based upon the Teachmitra Services and the Teachmitra Platform or any part thereof, except and only to the extent that that this is permissible by applicable law;
  • 11. Intentionally interfere with or damage operation of the Teachmitra Services or the Teachmitra Platform or any other user’s enjoyment of it, by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code or file with contaminating or destructive features;
  • 12. Use any robot, spider, other automatic device, or manual process to monitor or copy the Teachmitra Platform without prior written permission;
  • 13. Interfere or disrupt the Teachmitra Platform or networks connected to the Teachmitra Platform;
  • 14. Take any action that imposes an unreasonably or disproportionately large load on Teachmitra’s infrastructure/network;
  • 15. Use any device, software or routine to bypass the Teachmitra Platform’s robot exclusion headers, or interfere or attempt to interfere, with the Teachmitra Services;
  • 16. Forge headers or manipulate identifiers or other data in order to disguise the origin of any content transmitted through the Teachmitra Platform or to manipulate your presence on the Teachmitra Platform;
  • 17. Sell the Teachmitra Services, information, or software associated with or derived from it;
  • 18. Use the facilities and capabilities of the Teachmitra Platform to conduct any activity or solicit the performance of any illegal activity or other activity which infringes the rights of others;
  • 19. Provide false, inaccurate or misleading information;
  • 20. Use the Teachmitra Platform to collect or obtain personal information, including without limitation, financial information, about other users of the Teachmitra Platform, except and only as expressly provided in the Terms;
  • 21. Avail Teachmitra Services with what Teachmitra reasonably believes to be potentially fraudulent funds;
  • 22. Use the Teachmitra Services in a manner that results in or may result in complaints, disputes, reversals, chargebacks, fees, fines, penalties and other liability to Teachmitra, a third party or you;
  • 23. Use the Teachmitra Services in a manner that Teachmitra or any payment card network reasonably believe to be an abuse of the payment card system or a violation of payment card network rules;
  • 24. Take any action that may cause Teachmitra to lose any of the Teachmitra Services from its service providers or lose any of its recharge partners or business partners, including mobile operators or telecom companies, payment processors or other suppliers;
  • 25. Send automated request of any kind to the Teachmitra Platform without express permission in advance from Teachmitra.

Modifying and Terminating our Services

We are constantly changing and improving our Services. We may add or remove functionalities or features and we may suspend or stop a Service altogether.

You can stop using our Services at any time, although we would be sorry to see you go. Teachmitra may also stop providing Services to you or add or create new limits to our Services at any time.

We believe that you own your data, and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to remove information from that Service.

Our Warranties and Disclaimers

We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we do not promise about our Services.

OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, NEITHER TEACHMITRA NOR ITS SUPPLIERS OR DISTRIBUTORS MAKES ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DO NOT MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTIONS OF THE SERVICES OR THEIR RELIABILITY, AVAILABILITY OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE

SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.

Liability for our Services

WHEN PERMITTED BY LAW, TEACHMITRA WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES.

TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF TEACHMITRA FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT THAT YOU PAID US TO USE THE SERVICES (OR, IF WE CHOOSE, TO SUPPLYING YOU WITH THE SERVICES AGAIN).

IN ALL CASES, TEACHMITRA WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.

Business uses of our Services

If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify Teachmitra and its affiliates, agents and employees from any claim, action or proceedings arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, judgements, litigation costs and legal fees.

Additional Terms

Terms for Connect

1.Peers agree to connect with other peers on the platform once they agree to Give help or Ask help.

2. Peers can connect through Google Hangout or offline in presence of Teachmitra Moderator.

3. Minimum time to connect is 30 mins Maximum depends on Need of the connect type.

4. Of session is called off 24 hrs before connect then,

a. It can be rescheduled.

b. If not a., then points of peers who has requested to help or asked help will be deducted as a penalty.
Teachmitra is authorised to take Final decision.

5. We do not have formal association with Google Hangout or any online webinar services.

6. If connect doesn't happen due to some unavoidable circumstances at Teachmitra's end then

a. It will be rescheduled or

b. Cancelled

7. Teachmitra will be communicating about the proceeding of peer's connect request through : SMS, Email & Notification on the website.

8. Peers are responsible to check the proceedings regularly on the website.

9. Teachmitra is not liable to give prior notice in any case, whatsoever.

10 .If foul language is used then, account of particular peer can be revoked.

Terms for Write Blog

1. Blog needs to be educating or sharing your knowledge regarding your experience in learning something.

2. You should not share your contact information in the blog.

3. You should not share any link promoting other websites in the blog.

4. Only use free header image or image that you own in the blog.

5. Tags must be proper. No hash tags(#) allowed.

6. You cannot use lewd language, choice words or expletives.

7. Blog must not be copied and reproduced. Teachmitra has rights to reject the blog, even after if it was approved earlier.

8. Teachmitra should not be held responsible for any comments by users to any blog on the website.

Terms for Upload Video

1. Nature of video must be educational i.e. to teach meaningful skills or subject.

2. Video must not be in regional language. You can use Hindi or English.

3. Voice quality must be good.

4. Video must be clear.

5. Video must not be copied and reproduced on your youtube channel. Teachmitra has rights to reject the video, even after if it was approved earlier.

6. You should not promote any website or brand in the video.

7. You cannot use lewd language, choice words or expletives.

Terms for Redeem points

Along with other rules these are some special Rules for Redeem Points:

From/As of 31st March, 2017

To redeem the points Users also referred as Peers need to abide following conditions:

1. User can redeem the points Maximum 1 time(s) a week

2. After redeeming, minimum 50 points are needed in Teachmitra's account. Teachmitra will recheck your user's data & deduct points of User's referred peers & also Parent Peer incase of fraud/bogus/not genuine data.

3. For every redeem, 1 "Give Help” connect session is mandatory.(To know more about connect please see terms given above)

4. You can redeem points against Amazon or Flipkart Vouchers only.

5. We time to time change amount of redeem point. Even though Teachmitra communicates these change to user through different mediums but Teachmitra is not bound to inform users before making such changes.

6. Teachmitra's decision will be held final.

CONTESTS, SWEEPSTAKES AND PROMOTIONS

Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through the Service may be governed by rules that are separate from these Terms & Conditions. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms and Conditions, the Promotion rules will apply.

Special terms for offers and reward system

1. Your email should be verified, Mobile number should be verified

2. Emails IDs from genuine email provider will be given preference. E.g. Gmail, Ymail, Yahoo, Rediff, aol.com

3. Data in Want to Learn & Can Teach must be filled genuinely.

4. If the referred Peer is same person as one who refers then he won't be considered as a referral. Referral is an unique individual with unique email Id, phone number & Adhar card. Referral must be citizen of India.

5. Peer agrees to provide His/Her Name, Email Id, Phone number, Points to be redeemed in a mail to teachmitra@gmail.com. If Teachmitra requires more information regarding Peer, he/she is subjected to provide the same.

6. Amazon & Flipkart Gift Vouchers are subjected to availability through the vendor. We have no official partnership with the said companies.

7. Teachmitra is solely authorised to change, stop, cancel the offering any point of time.

8. The Peer would not be considered as a referral if

a. Not a unique individual as per Rule 4.


b. If Email Id, Mobile is not verified


c. If can teach & want to learn is not filled properly.


About these Terms

We may modify these terms or any additional terms that apply to a Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. We’ll post notice of modified additional terms in the applicable Service. Changes will not apply retrospectively and will become effective no earlier than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.

If there is any inconsistency between these terms and the additional terms, the additional terms will prevail to the extent of the inconsistency.

These terms govern the relationship between Teachmitra and you. They do not create any third party beneficiary rights.

If you do not comply with these terms and we do not take action immediately, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).

If it turns out that a particular term is not enforceable, this will not affect any other terms.

Dispute Resolution

If any dispute, controversy or claim arises under this Agreement or in relation to any Teachmitra Service or the Teachmitra Platform, including any question regarding the existence, validity or termination of this Agreement or Terms (hereinafter Dispute), the parties shall use all reasonable endeavours to resolve such Dispute amicably.

If the parties are unable to resolve the Dispute amicably within 30 days of the notice of such Dispute, Teachmitra may elect to resolve any Dispute by a binding arbitration in accordance with the provisions of the Indian Arbitration & Conciliation Act, 1996 (hereinafter Act). Such Dispute shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The Dispute shall be resolved by a sole arbitrator, appointed in accordance with the Act. The seat of the arbitration shall be Thane and the language of this arbitration shall be English. Either you or Teachmitra may seek any interim or preliminary relief from a court of competent jurisdiction in Thane necessary to protect the rights or the property belonging to you or Teachmitra (or any of our agents, suppliers, and subcontractors), pending the completion of arbitration. Any arbitration shall be confidential, and neither you nor Teachmitra may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcing the arbitration award. All administrative fees and expenses of arbitration will be divided equally between you and Teachmitra. In all arbitrations, each party will bear the expense of its own lawyers and preparation. This paragraph shall survive termination of this Agreement.

Governing Law and Forum for Disputes

Subject to the Dispute Resolution section above, you agree that any claim or dispute you may have against Teachmitra must be resolved by a court having jurisdiction in Thane, India. You agree to submit to the personal jurisdiction of the courts located within Thane, India, for the purpose of litigating all such claims or disputes. This Agreement shall be governed by Indian law. This paragraph shall survive termination of this Agreement.

Severability

If any provision of this Agreement is held to be unlawful, void, invalid or otherwise unenforceable, then that provision will be limited or eliminated from this Agreement to the minimum extent required, and the remaining provisions will remain valid and enforceable.

Headings

The heading references herein are for convenience purposes only and they do not constitute a part of these Terms and will not be deemed to limit or affect any of the provisions hereof.

Entire Agreement

This Agreement is the entire agreement between you and Teachmitra relating to the subject matter hereof and this Agreement will not be modified except by a change to this Agreement made by Teachmitra in accordance with the terms of this Agreement.
